Truth Social’s hopes for a much-needed cash-infusion suffered a setback Thursday after the founders of a blank-check company were again forced to delay a vote on extending a merger agreement with Donald Trump’s site.

The founders of Digital World, a special purpose acquisitions company, instead ponied up an additional $3 million to prevent the company from dissolving for three months. The new vote is slated for Oct. 10.

The SPAC needs 65% of shareholders to agree to extend the deal by a year with the former president’s right-leaning social media site. The two agreed to merge last October, a month after Digital World launched its IPO.

However, the deal has been in limbo after the Securities and Exchange Commission launched a probe late last year into whether Digital World’s founders possibly had advance knowledge of what it was buying before listing its shares — a violation of securities laws.

Digital World CEO Patrick Orlando raised the $3 million from outside investors in exchange for options in the company that would come good if the merger with Truth Social goes through, sources said. A judge placed a roadblock on federal prosecutors conducting a criminal investigation into former President Donald Trump’s handling of documents until a special master is appointed and has completed his or her work.

“The Court does not find that a temporary special master review under the present circumstances would cause undue delay” to the investigation, said U.S. District Court Judge Aileen Cannon of the Southern District of Florida, granting Trump’s motion for a third-party review to look for privileged materials. She said the government is “temporarily enjoined from further review and use of any materials seized from” Trump’s Mar-a-Lago resort in Florida last month “for criminal investigative purposes” until the special master’s review process is complete.

Trump’s legal team argued its client’s constitutional rights were violated and that there may have been privileged documents among those taken by federal officials, and the former president is pursuing the appointment of a special master, often an attorney, to review independently the evidence that the FBI seized from his Mar-a-Lago resort in Florida last month. The Justice Department opposes a third-party review of the materials seized from Mar-a-Lago, warning of the harm such a process could have to national security and the criminal investigation.

A federal judge has granted former President Donald Trump’s request to appoint an independent special master to review the documents seized in last month’s raid of Mar-a-Lago, in a shock victory for the former president.

“The court hereby authorizes the appointment of a special master to review the seized property for personal items and documents and potentially privileged material subject to claims of attorney-client and/or executive privilege,” U.S. District Judge Aileen Cannon wrote in an order Monday.

The decision has put a “brief pause” into the Department of Justice’s (DOJ) ongoing investigation of Trump, as government investigators are now barred from “reviewing and using the seized materials for investigative purposes” until the special master’s review is complete.

Trump’s attorneys requested the appointment of a special master to protect the former president’s rights, arguing that some of the documents taken in the search are “presumptively privileged” because they involve presidential communication with advisers. Former President Donald Trump blasted President Joe Biden at a rally Saturday night over a series of presidential speeches that attacked the former president’s supporters.

“Joe Biden came to Philadelphia, Pennsylvania, to give the most vicious, hateful and divisive speech ever delivered by an American president,” Trump told a massive crowd at the rally in Scranton, Pennsylvania. “Vilified 75 million citizens plus another, probably 75 to 150, if we want to be accurate about it, as threats to democracy and as enemies of the state.”

Biden labeled Trump supporters as a “threat to democracy” in his Thursday speech in Philadelphia but appeared to walk back the remarks on Friday after questions from Fox News White House correspondent Peter Doocy. Biden also accused Republicans of embracing “semi-fascism” during remarks at an Aug. 25 fundraiser for the Democratic National Committee and attacked “MAGA Republicans in a Tuesday speech at Wilkes-Barre, Pennsylvania.

“The enemy, you want to know the enemy of the state, is him and the group that control him which is circling around him,” Trump said. “‘Do this, do that, Joe, do this Joe,’ right? I think Philadelphia was a great choice to make the speech of hatred and anger. His speech was hatred and anger.
